1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Apollo, operated by Aaron Allison, located in Panama City Beach, Florida ("Apollo," "we," "us," or "our"). By accessing or using the Apollo platform at apollobooking.com (the "Platform"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Apollo is a two-sided marketplace that connects live music venues ("Venues") with performing artists and bands ("Artists"). The Platform provides booking tools, calendar management, and communication features to facilitate live music engagements ("Gigs").
2. Eligibility
You must be at least 18 years old to create an account. By using the Platform, you represent that you have the legal capacity to enter into these Terms and, if registering on behalf of a business entity, that you have the authority to bind that entity.
3. Account Types and Registration
Apollo offers two account types:
- Venue Accounts — For bars, restaurants, event spaces, and other live music establishments. Venue accounts require a paid subscription to access booking tools.
- Artist Accounts — For solo performers, duos, trios, bands, DJs, and other musical acts. Artist accounts are free.
You agree to provide accurate, complete information during registration and to keep your account information current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4. Subscription Plans and Pricing
Venue accounts are offered under the following subscription plans:
- Pay-As-You-Go — $19 per gig booking. No monthly commitment. Charged per confirmed booking.
- Standard — $249 per month. Includes access to all booking tools and calendar features.
- Unlimited — $449 per month. Full platform access with priority support and advanced features.
Artist accounts are free and do not require a subscription.
Subscription fees are billed in advance on a monthly basis. Pay-As-You-Go fees are charged upon booking confirmation. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We reserve the right to change pricing with 30 days' prior notice.
5. Platform Services and Limitations
Apollo provides tools for Venues to post open dates, discover Artists, send booking offers, and manage their entertainment calendar. Artists can create profiles, receive booking offers, and manage their gig schedule.
Apollo does not process gig payments between Venues and Artists. Compensation for performances is negotiated and paid directly between the Venue and the Artist. Apollo is not a party to the payment arrangement for any Gig and has no liability regarding compensation disputes.
The Platform subscription grants access to Apollo's booking tools and features. It does not guarantee any specific number of bookings, Artist availability, or Venue opportunities.
6. Booking Flow and Obligations
When a Venue sends a booking offer and an Artist accepts, both parties enter into a direct agreement for the performance. Apollo facilitates this connection but is not a party to the agreement between Venue and Artist.
Both parties agree to:
- Honor confirmed bookings and communicate promptly about any changes.
- Provide accurate information regarding dates, times, compensation, and performance requirements.
- Act in good faith and maintain professional conduct throughout the booking process.
7. Cancellation Policy
Cancellations of confirmed bookings should be communicated through the Platform as early as possible. Repeated cancellations or no-shows may result in account suspension or termination at Apollo's discretion.
For subscription cancellations, you may cancel your Venue subscription at any time. Your access will continue through the end of the current billing period. No partial refunds will be issued for unused portions of a billing period.
8. Content Ownership and License
You retain ownership of all content you submit to the Platform, including profile information, photos, videos, descriptions, and other materials ("User Content"). By submitting User Content, you grant Apollo a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content solely for the purpose of operating and promoting the Platform.
You represent that you have all necessary rights to the content you submit and that your content does not infringe on any third party's intellectual property rights.
All Apollo branding, design, and proprietary features of the Platform are owned by Apollo and may not be used without express written permission.
9. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law.
- Create fake accounts, impersonate others, or misrepresent your identity or affiliation.
- Harass, threaten, or engage in abusive behavior toward other users.
- Scrape, crawl, or use automated tools to extract data from the Platform without express permission.
- Circumvent, disable, or interfere with any security or access-control features of the Platform.
- Use the Platform to spam or send unsolicited communications.
10. Dispute Resolution
Apollo encourages Venues and Artists to resolve disputes directly and professionally. Apollo may, at its sole discretion, offer mediation assistance but is not obligated to do so.
Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in Bay County, Florida, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
11. Limitation of Liability
To the maximum extent permitted by law, Apollo and its owner, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Platform.
Apollo's total liability for any claim arising from or relating to these Terms or the Platform shall not exceed the amount you paid to Apollo in the twelve (12) months preceding the claim.
Apollo does not guarantee the quality, safety, or legality of any performance, the accuracy of any listing or profile, or the ability of any Venue or Artist to fulfill their obligations.
12. Indemnification
You agree to indemnify, defend, and hold harmless Apollo and its owner, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third party's rights.
13. Termination
Apollo may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, repeated booking cancellations, abusive conduct, or fraudulent activity.
Upon termination, your right to access the Platform ceases immediately. Any provisions of these Terms that by their nature should survive termination will remain in effect, including Sections 8 (Content Ownership), 10 (Dispute Resolution), 11 (Limitation of Liability), and 12 (Indemnification).
14. Modifications to Terms
Apollo reserves the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending notice through the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.
15. Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apollo regarding your use of the Platform and supersede all prior agreements and understandings.
